This Agreement (Agreement) is made on 6 November 2023 (Effective Date) between:
Kenn Jordan of ElmsPark, The Murreys, Ashtead, Surrey (Contractor); and
Kim Greenhouse of The Rainmaking Company (Client);
Each a “party”, and together the “parties”.

BACKGROUND

The Client wishes to engage the Contractor to perform services. The Contractor has the necessary qualifications and experience to provide services to the Client.
  1. Setting up the requisite functionalities within all the content sections (E-commerce/Shop, Members, Blog, Chat/Forum & Live) to ensure a seamless user experience. This includes the membership categories, the membership sign-up process, and the member-to-member interaction features.
  2. Conducting thorough testing of these functionalities to ascertain their performance and reliability.
  3. Demonstrating the operational readiness of these features to the USPTA, ensuring they are fully usable and meet the specified standards.
  4. Facilitating the integration of a third-party chat application to enable members to interact with each other.
In consideration of mutual benefits, the parties have agreed to comply with the following terms.

TERMS

1. DEFINITIONS For the purposes of this Agreement, the following expressions shall have the following meanings:
Confidential Information shall mean any information that is not publicly available that is disclosed or made available, either directly or indirectly, to the Contractor by the Client in connection with this Agreement.
The fee shall mean a flat fee of US$1,400.
Intellectual Property shall include all rights in any copyright, trademark, industrial design, patent, trade secrets and other proprietary information of a party.
Services shall mean Website Design & Development.
Term shall mean the period of time from the Effective Date until the completion of the Services, or earlier termination in accordance with clause 2 below.

2. TERM & TERMINATION This Agreement will expire upon the completion of the Term. Either party may terminate the Agreement with the other party’s mutual consent. A party may terminate this Agreement, without cause, upon 14 days written notice to the other party.

Scope of Work

  • The Developer agrees to develop the Website using the WordPress framework “Focus” from DIYthemes.com.

1. E-Commerce Section

  • The Website will include an e-commerce/shop section that a third-party print-on-demand supplier will fulfill. The Developer will integrate the necessary functionality to enable seamless e-commerce/shopping operations on the Website.

2. Members Section

  • The Website will also feature a Members section for hosting Member's messages and communications. The Developer will incorporate the required Membership functionality to facilitate the delivery and management of the Member's content.

3. Blog Section

  • The Developer will design and implement a blog section within the Website to serve as a platform for the Client to publish articles, news updates, and other content relevant to the Client's audience.

4. Chat/Forum Section

  • The Developer will design and implement a chat/forum within the Website to facilitate community engagement, discussion, and support among the Client's audience.

5. Live Section

  • The Developer will design and implement a 'LIVE Section' within the Website to host real-time events, including but not limited to webinars, live streams, and Q&A sessions, to engage with the Client's audience.

Budget and Payment

  • The total budget for the Website development is $1,400, which is a discounted rate from the original price of $3,200.

Ownership and Intellectual Property

  • The Client shall own the completed Website, and all images, including all intellectual property rights associated with it. These assets will also be available to download via a shared and secure cloud storage, plus a backup second separate cloud storage solution.
  • All Intellectual Property and related material developed or produced in connection with this Agreement shall become the property of, or otherwise vest in the Client upon completion of the Services or earlier expiry of the Agreement.
  • The Contractor must keep Confidential Information confidential and not disclose it except as expressly authorised by the Client or as required by law during the Term and for two years from the expiry of this Agreement.
  • The Contractor must not use the Client’s Intellectual Property or Confidential Information for any reason other than the delivery of the Services.
  • At the expiry or earlier termination of this Agreement, the Contractor will return all Confidential Information and property of the Client to the Client.

Confidentiality

  • Both parties agree to keep any confidential information exchanged during the course of this project confidential and not disclose it to any third parties without prior written consent.

Governing Law

  • This Contract shall be governed by and interpreted in accordance with the laws of England and Wales in which the Developer’s business is registered.

Entire Agreement

  • This Contract represents the entire agreement between the Developer and the Client and supersedes any other agreements or understandings relating to the Website development unless there is an updated mutual agreement.
